Terms of use

Last updated 12 October 2026

These Terms create an agreement between you and THERAFYX LTD, a company incorporated in England and Wales (Company No. 15897992) with its Registered Office at Shah & Co Accountants Ltd, 1st Floor 228 Widdrington Road, Cashs Business Centre, Coventry, West Midlands, United Kingdom, CV1 4PB ("we", "us", "our"). They govern your use of the Therafyx toolkit, an online set of tools for healthcare practitioners, including Rehab 3D, FlagPoint, Conditions, pre-consultation forms and any other tools we make available ("the Platform").

1. Agreement

1.1 By ticking the box when you create an account, you agree to these Terms, our Privacy Policy and, where you use tools involving patient data, our Data Processing Agreement.

1.2 If you sign up on behalf of a clinic or company, you confirm you have authority to bind it, and "you" includes that clinic or company.

1.3 If you do not accept these Terms, you may not use the Platform.

2. Interpretation

"Writing" includes email. A reference to a law is to that law as amended or re-enacted. Headings do not affect interpretation. The singular includes the plural and vice versa.

3. Who can use the Platform

3.1 The Platform is for healthcare practitioners only, acting in the course of their profession. It is not for patients or the public.

3.2 You confirm that you are a qualified practitioner registered with the relevant UK regulator or professional body (for example the GCC, HCPC or GOsC), or a student under supervision, and you will tell us if that stops being true. We may ask for evidence and suspend accounts we cannot verify.

3.3 Because you use the Platform for business, you are not a consumer, and consumer protection laws on cancellation and refunds do not apply.

4. Your account

4.1 Keep your login details confidential and do not share your account. Each practitioner needs their own login.

4.2 You are responsible for activity on your account. Tell us at once at hello@therafyx.com if you think it has been misused.

5. Licence

5.1 We grant you a non-exclusive, non-transferable, revocable licence to use the Platform for your own clinical practice, in line with these Terms.

5.2 You may show content (for example 3D exercise models and condition information) to your patients and send it to them through the Platform.

5.3 You may not: copy, resell, sub-license or distribute the Platform or its content; reverse engineer it or try to extract source code; scrape or bulk-download content; use it to build a competing product; or do anything that affects our rights in the Platform.

6. Clinical responsibility

6.1 The Platform supports your clinical judgement; it does not replace it. Content such as red flag lists, condition information and exercise programmes is general professional reference material, not a diagnosis or treatment plan for any individual patient.

6.2 You remain solely responsible for your assessment, diagnosis, treatment, referral and advice, for deciding whether any content is suitable for a particular patient, and for meeting your regulator's standards.

6.3 We take reasonable care to keep content accurate and up to date, and to have it reviewed by qualified clinicians, but we do not guarantee it is complete, current or suitable for every patient. Please report any content you think is wrong to hello@therafyx.com.

6.4 The Platform is not designed for emergencies. Patients who need urgent care must be directed to 999, NHS 111 or A&E.

6.5 Where the Platform uses AI features, outputs may be inaccurate or incomplete and must be checked by you before use.

7. Patient data

7.1 When you use a tool that involves patient data, you (or your clinic) are the controller and we are your processor. Our Data Processing Agreement forms part of these Terms and sets out how we handle that data.

7.2 You are responsible for having a lawful basis to use the Platform with your patients' data, giving them a privacy notice that covers it, and entering only the information the tool needs.

7.3 Do not enter patient-identifiable information into tools that are not designed for it (for example search boxes or FlagPoint).

8. Acceptable use

You must not use the Platform unlawfully, to upload malware, to attempt unauthorised access, to overload or disrupt it, to harass anyone, or in a way that breaches professional or confidentiality duties.

9. Early access

9.1 The Platform is in early access. Tools are provided as they are, may change or be withdrawn, and may contain faults. We make no promise about their availability or performance.

9.2 We aim to keep the Platform available, but there may be interruptions for maintenance or reasons outside our control.

10. Fees

10.1 The Platform is free during early access. We will give you at least 30 days' notice before charging for any tool you already use, and you can close your account before then.

10.2 Before we introduce paid plans we will publish their prices and payment terms, and you will only be charged if you choose a paid plan.

11. Intellectual property

11.1 We (or our licensors) own all rights in the Platform and its content, including the Therafyx name and logo, software, 3D models, text and images. Nothing in these Terms transfers them to you.

11.2 You own the information you enter. You give us permission to use it only to provide the Platform to you, as set out in the Privacy Policy and DPA.

12. Feedback

12.1 If you send us feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use them in any way, including to improve the Platform. This does not give you any rights in the Platform.

12.2 We may use anonymised, aggregated usage statistics (which do not identify you or any patient) to improve the Platform. We do not use patient data to train AI models.

13. Confidentiality

Each of us will keep confidential any non-public information the other shares about its business, and use it only for the purposes of these Terms, except where disclosure is required by law or the information becomes public through no fault of the receiving party. This continues for three years after your account closes.

14. Liability

14.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot be limited by law.

14.2 Subject to 14.1, we are not liable for loss of profits, revenue, business, goodwill or data, for any indirect or consequential loss, or for any loss arising from your clinical decisions or your reliance on Platform content in place of your own judgement.

14.3 Subject to 14.1, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and £100.

14.4 Except as set out in these Terms, all warranties and conditions implied by law are excluded to the extent permitted.

15. Indemnity

You will indemnify us against third-party claims, costs and losses arising from your breach of these Terms, your breach of data protection law in respect of patient data, or your clinical practice.

16. Suspension and termination

16.1 You may close your account at any time.

16.2 We may suspend or close your account immediately if you seriously or repeatedly breach these Terms or are no longer a registered practitioner. We may also close the Platform or a tool by giving you at least 30 days' notice.

16.3 When your account closes, your licence ends. You can export your data during your notice period; we will then delete it as set out in the Privacy Policy and DPA.

16.4 Clauses which by their nature should survive (including 11 to 15 and 19) continue after termination.

17. General

17.1 Assignment. You may not transfer your rights under these Terms without our written consent (not unreasonably withheld). We may transfer them to a successor of our business.

17.2 Relationship. Nothing in these Terms creates a partnership, agency or employment relationship.

17.3 Severance. If any provision is found invalid, the rest remains in force.

17.4 Entire agreement. These Terms, the Privacy Policy and the DPA are the whole agreement between us about the Platform.

17.5 Third parties. No one else has rights under these Terms under the Contracts (Rights of Third Parties) Act 1999.

17.6 Events outside our control. We are not liable for delay or failure caused by events beyond our reasonable control.

18. Changes

We may update the Platform and these Terms. We will give at least 30 days' notice of material changes by email and on this page. If you do not agree, you may close your account before they take effect.

19. Law and jurisdiction

These Terms, and any non-contractual matters arising from them, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
